GENERAL CONDITIONS OF USE

These General Terms and Conditions of Use (hereinafter referred to as the "GTC") define the rights and obligations within the framework of the use of the services provided by the Wirate platform, accessible at the address wirate.co, between the undersigned:

- SAS Crowdrating, a simplified joint stock company with a capital of €1,000, registered in the Bobigny Trade and Companies Register under number 811 140 565 and headquartered at 103, rue Jouffroy d'Abbans, 75017 Paris (hereafter referred to as "Wirate"), on the one hand

And

-The Internet user of the wirate.co site, having created an account (hereinafter referred to as "the Member", or "the Members" in the plural)

By connecting to the wirate.co website (hereinafter referred to as "the Site") and by registering prior to its use, the Member acknowledges having read and accepted these GTC, without any reservation. Consequently, these GTC constitute a contractual commitment between Wirate and the Member (hereinafter referred to as "the Contract").

1. USE OF THE SITE

Access to the website

The site is accessible from the URL http://wirate.co. Its main purpose is to provide an assessment of young companies seeking financing, by asking the opinion of the entire community of Members. This evaluation can then be used by the companies to highlight their qualities in front of their investors, and by potential investors to help them in their decision making

Services access

Access to the various services offered by Wirate via the Website requires prior registration of the Internet user connecting to it through his Linkedin professional social network account.

Wirate reserves the right to exclude without justification any member using the Site in a manner that does not comply with these TOS.

The creation of an account on the Site is open to any individual who has accepted the connection to his Linkedin account.

The Member is the sole and exclusive guarantor of the confidentiality of his/her connection information to the Site.

Wirate cannot be held responsible in case of fraudulent use of the account of one of its Members if it appears that his authentication data has been diffused to third parties by his fault. If the Member notices an abnormal use of his account, he must imperatively and as soon as possible transmit this information to the developers of the Site, at the address webmaster@wirate.co.

In parallel, the Member can modify his authentication data at any time by going to his Linkedin profile.

The Member acknowledges having the necessary skills and means to access the Site and use its services.

Services offered to Members

By connecting to the Site, the Member can:

  • Share its points of view, opinions and comments concerning the published projects, using the means made available by the Site
  • Consult project evaluations from other Members' opinions
  • Submit your own project for evaluation, using the project submission form accessible from the header of the Site pages

The accessibility of the platform, its performance and reliability are major objectives for Wirate. Thus, Wirate will do everything in its power to offer its services to Members 24 hours a day, 7 days a week. In the interest of continuous improvement, Wirate reserves the right to add or modify the services it offers via its Site, without prior notice or notification. However, these performances may be dependent on the infrastructure of the company OVH, which hosts the servers of Wirate.

The attribution by Wirate of a Member account is strictly personal and unique. Under no circumstances may the Member use another account than his or her own to carry out activities on the Site.

2. PRICING OF WIRATE SERVICES

Registering on the site to become a Member, as well as accessing and participating in project evaluations is completely free. However, some other services are not free.

Access to evaluation details

Wirate displays to all its Members the global results of the evaluations for each project. If a Member wishes to obtain more detailed information, he can become a Premium Member. To do so, there are two solutions: be among the most active Members on the Site, and thus accumulate enough credit, or subscribe to a paid access. Our rates will be available very soon.

Project deposit to be evaluated

The accessibility of the platform, its performance and reliability are major objectives for Wirate. 3. COMMITMENTS AND RESPONSIBILITIES OF MEMBERS

Confidentiality

The Member, prior to the examination of the company files presented through the Site, makes the following commitments to the project leaders and their company as well as to Wirate:

- To keep strictly confidential any information that will be brought to its knowledge thanks to the presentation file of entrerpsie, being specified that the information referred to herein means all that is not known to the public at this time.

- Not to divulge the information obtained to any third party, only to its collaborators or advisers in charge of intervening on the case and guarantees, under its responsibility, that these persons will be subjected to the same obligations of discretion as itself.

- Not to use or exploit, nor the natural or legal persons depending on him, any of the information communicated outside the planned operation.

- Do not keep any copies or reproductions of project presentation materials.

Accuracy of the information provided

Members who have submitted a project for evaluation also undertake to guarantee the accuracy and veracity of the information they publish. If a Member notices, after submitting a project, that incorrect information has been inadvertently published, he/she must inform Wirate as soon as possible so that the information can be corrected.

Prohibitions on the use of the Site

Within the framework of the use of the Site in a general manner, the Member shall refrain from engaging in acts that would be contrary to the law or to these GCU, would infringe on public order, the rights of third parties or those of Wirate.

- Do not use a false identity to deceive Wirate, one or more of its Members or an Issuing Company,

-Communicate to Wirate and its Members only data which he considers that their diffusion can in no case be prejudicial in any way whatsoever neither to himself, nor to the other Members, nor to Wirate, nor to third parties

- Do not disseminate information or content that is not true to life,

- Not to disseminate data, information or content of a defamatory, insulting, obscene, offensive, violent or inciting to violence nature, or of a political, racist or xenophobic nature and, in general, any content that would be contrary to the laws and regulations in force or to good morals,

- Do not organize actions that have the effect of diminishing, disorganizing, preventing the normal use of the Site, or interrupting and/or slowing down its operation, - To comply with the legal and regulatory provisions in force in France and in the country where he resides,

- Comply with the clauses of these TOS, and respect the rights of third parties,

-Use the Site fairly, honestly and in accordance with its purpose,

- Respect the intellectual property rights of the content provided by Wirate, as well as the intellectual property rights of the content provided by the Members who have submitted a file, and other Members

- Not to divert or attempt to divert one or more of the functionalities of the Site outside its normal use and for which it was designed

The Member alone assumes full responsibility for the information he/she publishes, records or puts online on the Site.

If a Member notices a breach of the above rules, he/she must contact the Wirate team in charge of the development of the Site as soon as possible (at the address webmaster@wirate.co) by specifying in his/her e-mail the misdeed noticed (location on the Site, targeted content, ...). Nevertheless, any abuse of this procedure will be considered as abusive reporting and may be sanctioned by Wirate, sanction that may go as far as the closure of the Member's account.

Authorization for the dissemination of information

Before submitting a project for evaluation, the Member must expressly ensure that he or she has the rights to disseminate the information on the project. Wirate shall in no case be held responsible for the dissemination of information for which the person who submitted the project did not have the necessary authorizations for its disclosure..

4. WIRATE'S COMMITMENTS AND RESPONSIBILITIES

Protection of the personal data of its Members

When registering as a Member, Wirate collects nominative data and information concerning the Internet user making the registration request.

This information is only intended for Wirate, and will not be distributed or transferred to third parties for commercial purposes. Wirate undertakes to use this data solely for the purpose of meeting its legal and regulatory obligations relating to its activity.

This data is processed and stored on the servers of the Site's host, identified in section 1 of these TOU.

In accordance with the law "Informatique et Liberté" of January 6, 1978 (modified in 2004), the Site has been declared to the CNIL, registered under the number (in progress). The Member may at any time exercise his/her right to access, modify, delete or rectify his/her data by simple request to Wirate, at the address webmaster@wirate.co. If the changes are minor, the Member may implement them himself/herself by accessing the "Profile Modification" page from his/her profile page.

Wirate informs its Members that all data concerning them may however be disseminated in application of a law, regulation or decision of a judicial authority.

Non-guaranteed information about the projects submitted

Information on projects submitted for evaluation is provided by the Members officially carrying the project within their company, or in their personal capacity, unless otherwise stated. Any such information is the sole responsibility of the Members carrying the projects. In no case does Wirate take responsibility for the veracity or authenticity of this information.

5. INTELLECTUAL PROPERTY OF THE SITE

The Website is owned by SAS Crowdrating, identified in the Legal Notice This property includes the graphic components (logo, graphic charter, ...), technical components (database, web services, applications, Javascript/PHP/HTML code, ...), and editorial components. All the property rights of the Site are therefore entirely owned by Wirate, and the use by the Member does not give him/her any right on any of the above-mentioned elements, apart from the content published by him/her.

By registering on the Site, the Member fully and unreservedly acknowledges the intellectual property rights of Wirate under the conditions listed above. Registration on the Site implies a commitment by the Member to respect said rights.

6. ATTRIBUTES OF THIS CONTRACT

Duration of the contract and termination

The Contract is concluded for an indefinite period from the date of registration on the Site by the Member.

The Member may terminate his or her access to the Site and suspend his or her registration at any time. If the Member is committed via a subscription, the termination date will take effect the day after the end of the commitment period. To request cancellation of his or her subscription to the Site, the Member must send a request to contact@wirate.co.

Independence of the clauses

The nullity, illegality or inapplicability of one or more clause(s) of the present TOS shall in no case entail the nullity, illegality or inapplicability of the other clauses.

Modifications to the present T&Cs

Wirate reserves the right to modify these Terms of Use at any time and without notice. The Member is therefore strongly advised to consult them regularly, by clicking on the link at the bottom of all the pages of the Site "Terms of Use". In case of significant modification of one or several clauses, all Members will receive a notification of this modification by email.

7. APPLICABLE LAWS AND DISPUTES

The present GTU are written in French language, and in accordance with the French law. No translation of the present terms and conditions in any language whatsoever may be taken into account in the resolution of any disputes.

Given the international dimension of the Internet, each Member is personally responsible for complying with the laws and regulations applicable in his/her country of residence.

In the event of a dispute on any subject whatsoever with Wirate and the use of its Site, the Member and Wirate mutually undertake to seek an amicable solution in the first instance.

In case of failure of this approach, the claims or disputes will be brought before the competent courts of the city of Saint-Ouen (93400, France).
